Terms of Service
Kind Robots LLC
1. Definitions
- "Platform": The Kind Robots software-as-a-service platform, including the admin dashboard, chat API, embeddable chat widget, and all related tools and services available at kindrobots.ai.
- "Services": All functionality provided through the Platform, including AI chat agent creation, API manifest configuration, widget embedding, analytics, and community agent orchestration.
- "Customer": The individual or entity that registers for an account and subscribes to the Platform.
- "User": Any individual who accesses or uses the Platform on behalf of a Customer, including administrators and end-users interacting with embedded widgets.
- "BYOK Model" (Bring Your Own Key): The model under which Customers provide their own API keys for third-party LLM providers. Kind Robots does not supply, manage, or pay for LLM provider access on behalf of Customers.
- "LLM Provider": A third-party artificial intelligence service (such as OpenAI, Anthropic, or Google) that provides large language model capabilities, accessed through Customer-provided API keys.
- "Agent": An AI-powered chat agent configured on the Platform by the Customer.
- "Manifest": The API endpoint configuration that defines how an Agent interacts with external services.
- "Organization": The Customer's account entity on the Platform, which may contain multiple Users, projects, and Agents.
2. Acceptance of Terms
By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Acceptable Use Policy, and all other policies referenced herein. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.
If you do not agree to these Terms, you may not use the Platform.
3. Account Registration and Responsibilities
3.1 Account Creation
To use the Platform, you must create an account by providing accurate, complete, and current information. You must maintain and update your account information to keep it accurate.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying Kind Robots of any unauthorized use of your account
3.3 Age Requirement
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Platform.
3.4 Organization Accounts
The individual who creates an Organization account is the initial administrator. Administrators may invite additional Users and assign roles. The Customer is responsible for the actions of all Users within their Organization.
4. Subscription Tiers and Billing
4.1 Subscription Plans
The Platform offers the following subscription tiers:

4.2 Billing
Subscriptions are billed in advance on a monthly basis through Stripe. By subscribing, you authorize Kind Robots to charge your designated payment method for the applicable fees.
4.3 Taxes
All fees are exclusive of taxes. You are responsible for any applicable taxes, duties, or levies imposed by taxing authorities.
4.4 Price Changes
Kind Robots may modify subscription prices with at least thirty (30) days' prior written notice. Price changes take effect at the start of your next billing cycle following the notice period.
4.5 LLM Provider Costs (BYOK)
Under the BYOK model, you are solely responsible for:
- Obtaining and maintaining your own API keys with third-party LLM providers
- All costs, fees, and charges incurred with LLM providers
- Compliance with each LLM provider's terms of service and usage policies
Kind Robots does not charge for, pass through, or otherwise manage LLM provider costs.
5. BYOK Model — Customer Responsibilities
5.1 API Key Management
Customers are responsible for:
- Securing their LLM provider API keys
- Configuring appropriate usage limits with their LLM providers
- Rotating keys as needed for security purposes
- Revoking keys that may have been compromised
5.2 Provider Selection
Customers choose which LLM provider(s) to use with their Agents. Kind Robots supports multiple providers (including OpenAI, Anthropic, Google, and custom providers) but does not endorse, recommend, or guarantee any specific provider.
5.3 Provider Terms
Customers are solely responsible for understanding and complying with the terms of service, acceptable use policies, and data processing practices of their chosen LLM providers.
6. Intellectual Property
6.1 Customer Property
The Customer retains all rights, title, and interest in:
- Data uploaded to or generated through the Platform
- Agent configurations, Manifests, and custom content
- Branding and design customizations applied to widgets
- Outputs generated by Agents (subject to any applicable LLM provider terms)
6.2 Kind Robots Property
Kind Robots retains all rights, title, and interest in:
- The Platform, including all software, tools, infrastructure, and documentation
- Kind Robots trademarks, logos, and branding
- Aggregated, anonymized usage statistics and analytics that do not identify any individual Customer or User
- Improvements to the Platform derived from general usage patterns
6.3 License to Customer
Kind Robots grants the Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the subscription term, solely for the Customer's internal business purposes.
6.4 License to Kind Robots
The Customer grants Kind Robots a limited license to host, process, and display Customer content solely as necessary to provide the Services.
6.5 Feedback
If you provide Kind Robots with suggestions, ideas, or feedback regarding the Platform, Kind Robots may use such feedback without obligation or compensation to you.
7. Limitation of Liability
7.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." KIND ROBOTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.2 Third-Party Services
KIND ROBOTS DOES NOT WARRANT OR GUARANTEE THE AVAILABILITY, ACCURACY, RELIABILITY, OR PERFORMANCE OF ANY THIRD-PARTY LLM PROVIDER OR OTHER THIRD-PARTY SERVICE. THE CUSTOMER ASSUMES ALL RISK ASSOCIATED WITH THE USE OF THIRD-PARTY SERVICES ACCESSED THROUGH THE PLATFORM, INCLUDING LLM PROVIDERS CONFIGURED UNDER THE BYOK MODEL.
7.3 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KIND ROBOTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE PLATFORM.
KIND ROBOTS' TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO KIND ROBOTS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
7.4 Essential Purpose
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
8. Indemnification
8.1 Customer Indemnification
The Customer agrees to indemnify, defend, and hold harmless Kind Robots LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:
- The Customer's use of the Platform
- The Customer's violation of these Terms
- The Customer's violation of any applicable law or regulation
- Content created, transmitted, or distributed by the Customer's Agents
- The Customer's use of third-party LLM providers under the BYOK model
- Any claim by a third party related to the Customer's Agents or their outputs
8.2 Procedure
Kind Robots will promptly notify the Customer of any claim subject to indemnification and provide reasonable cooperation in the defense of such claim.
9. Termination and Suspension
9.1 Customer Termination
Customers may cancel their subscription at any time through the Platform's billing portal. Cancellation takes effect at the end of the current billing period. See our Refund & Cancellation Policy for details.
9.2 Kind Robots Termination
Kind Robots may suspend or terminate your access to the Platform:
- Immediately, for violation of these Terms or the Acceptable Use Policy
- Immediately, for non-payment after a fifteen (15) day grace period
- With thirty (30) days' notice, for any other reason
9.3 Effect of Termination
Upon termination:
- Your right to access the Platform ceases immediately (or at the end of the billing period for Customer-initiated cancellations)
- Kind Robots will retain your data for thirty (30) days to allow for export
- After the retention period, your data will be permanently deleted
- Any outstanding fees become immediately due and payable
9.4 Survival
Sections regarding intellectual property, limitation of liability, indemnification, governing law, and any accrued obligations survive termination.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law principles.
11. Dispute Resolution
11.1 Informal Resolution
Before initiating any formal proceeding, the parties agree to attempt to resolve disputes informally by contacting legal@kindrobots.ai for a period of thirty (30) days.
11.2 Arbitration
If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, conducted in the State of Indiana.
11.3 Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
11.4 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
12. Modification of Terms
Kind Robots may update these Terms from time to time. We will provide notice of material changes by:
- Posting the updated Terms on the Platform with a revised "Last Updated" date
- Sending an email notification to the address associated with your account
Continued use of the Platform after such notice constitutes acceptance of the modified Terms. If you do not agree with the modifications, you must stop using the Platform and cancel your subscription.
13. General Provisions
13.1 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable Service Level Agreement or Data Processing Agreement, constitute the entire agreement between you and Kind Robots regarding the Platform.
13.2 Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
13.3 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
13.4 Assignment
You may not assign or transfer your rights under these Terms without Kind Robots' prior written consent. Kind Robots may assign these Terms without restriction.
13.5 Force Majeure
Kind Robots shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of government, Internet disruptions, or third-party service outages.
13.6 Notices
Notices to Kind Robots should be sent to legal@kindrobots.ai. Notices to Customers will be sent to the email address on file.
